1. Agreement to Terms
Welcome to Saywall ("Company," "we," "us," or "our"). These Terms and Conditions ("Terms," "Terms of Service") constitute a legally binding agreement between you (the "User," "you," or "your") and Saywall concerning your access to and use of the https://saywall.com website and any related services (collectively, the "Service").
BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. If you do not agree to all of these Terms, you are expressly prohibited from using the Service and must discontinue use immediately.
These Terms comply with applicable laws and regulations including the General Data Protection Regulation (GDPR), California Consumer Privacy Act (CCPA), and other consumer protection laws applicable in 2025-2026.
2. Definitions
For the purposes of these Terms:
- "Service" means the Saywall web application, including all features, content, APIs, and related services.
- "User," "you," or "your" refers to the individual, company, or legal entity accessing or using the Service.
- "Content" means text, images, data, testimonials, or other materials uploaded, submitted, or displayed through the Service.
- "User Content" means all Content that you or end users submit through the Service, including testimonials, project configurations, and branding assets.
- "Project" means a workspace created by a User to manage testimonials and widgets for a specific website or product.
- "Widget" means an embeddable testimonial display component generated by the Service for use on third-party websites.
- "Subscription" means a paid access plan (Starter or Pro) that grants specific features and usage limits.
- "Intellectual Property" means patents, trademarks, service marks, copyrights, trade secrets, and other proprietary rights.
3. Eligibility
3.1 Age Requirement
You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use the Service. By using the Service, you represent and warrant that you meet this age requirement.
The Service is not intended for individuals under the age of 16. If you are under 16, you may not use the Service.
3.2 Account Accuracy
You must provide accurate, current, and complete information during registration and maintain the accuracy of such information. You are responsible for all activities that occur under your account.
3.3 Legal Capacity
You represent that you have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
4. Account Registration and Security
4.1 Account Creation
To access certain features of the Service, you must create an account using a valid email address. We use passwordless authentication via "magic links" sent to your email.
You agree to:
- Provide accurate and complete registration information
- Maintain the security of your email account
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities under your account
4.2 Account Security
You are solely responsible for maintaining the confidentiality of your email account, as it is used for authentication. We are not liable for any loss or damage arising from your failure to protect your email account.
4.3 Account Suspension and Termination
We reserve the right to suspend or terminate your account if:
- You violate these Terms
- You engage in fraudulent or illegal activities
- Your account remains inactive for more than 12 consecutive months
- You provide false or misleading information
- You abuse the Service or interfere with other users' access
5. Subscription Plans and Billing
5.1 Subscription Tiers
Saywall offers the following subscription plans:
Starter Plan (Free):
- 1 workspace/project
- Up to 10 testimonials
- Text testimonials only
- 1 basic embed widget
- Saywall branding required
- Community support
Pro Plan ($29/month or promotional rate):
- 7-day free trial (one-time eligibility)
- Unlimited testimonials
- Unlimited widgets and embeds
- Custom branding and theming
- Option to remove Saywall branding
- Priority support
- Early access to new features
- Future: video testimonial support
Plan features, pricing, and limits are subject to change with 30 days' notice to active subscribers.
5.2 Billing and Payment
Payment Processing:
- All payments are processed securely through Stripe, Inc.
- By subscribing to a paid plan, you authorize us to charge your selected payment method
- We do not store or have access to your payment card details
Billing Cycle:
- Pro Plan subscriptions are billed monthly in advance
- The billing cycle begins on the date you subscribe (after the trial period ends)
- Charges are automatically processed on each billing date
Trial Period:
- New Pro Plan subscribers receive a 7-day free trial (eligibility tracked per user)
- You will not be charged during the trial period
- Cancel anytime during the trial to avoid charges
- If you do not cancel, your subscription begins at the end of the trial and your payment method will be charged
5.3 Refunds and Cancellations
Cancellation:
- You may cancel your subscription at any time through the Stripe Customer Portal
- Cancellation is effective at the end of the current billing period
- You will retain access to Pro features until the end of the paid period
- No refunds or credits for partial months
Refund Policy:
- We do not provide refunds for subscription fees, except as required by law
- If you believe you were charged in error, contact us at hello@saywall.io within 7 days
- Refund requests are evaluated on a case-by-case basis at our sole discretion
Non-Payment:
- Failure to pay subscription fees may result in:
- Suspension of Pro features
- Downgrade to Starter Plan limits (excess content may become inaccessible)
- Account suspension after 30 days of non-payment
5.4 Price Changes
We reserve the right to modify subscription prices with 30 days' advance notice to active subscribers. Price changes will not affect your current billing cycle, but will apply upon renewal.
If you do not agree to a price increase, you may cancel your subscription before the new price takes effect.
6. User Content and Conduct
6.1 User Content Ownership
You retain all ownership rights to the Content you submit to the Service, including testimonials, project configurations, branding assets, and avatar images.
By submitting Content, you grant Saywall a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Content in connection with the Service, including for the purpose of:
- Displaying testimonials in widgets you create
- Providing, maintaining, and improving the Service
- Complying with legal obligations
This license continues until you delete the Content from the Service.
6.2 User Responsibilities
You are solely responsible for:
- All Content you submit to the Service
- Ensuring you have the right to submit and publish Content
- Obtaining necessary consents from testimonial authors
- Complying with applicable laws, including privacy, intellectual property, and consumer protection laws
- The accuracy and legality of Content
6.3 Prohibited Conduct
You agree NOT to:
- Upload, post, or transmit Content that:
- Is false, misleading, defamatory, or fraudulent
- Infringes intellectual property rights
- Violates privacy rights or data protection laws
- Contains malware, viruses, or harmful code
- Is obscene, pornographic, or sexually explicit
- Promotes violence, discrimination, or illegal activities
- Harasses, threatens, or abuses others
- Contains spam or unsolicited commercial content
- Use the Service to:
- Violate any applicable laws or regulations
- Impersonate any person or entity
- Collect or harvest personal information of others without consent
- Interfere with or disrupt the Service or servers
- Reverse engineer, decompile, or disassemble the Service
- Circumvent security measures or usage limits
- Resell, sublicense, or redistribute the Service without authorization
- Use automated scripts, bots, or scrapers (except for public APIs when available)
- Create fake or misleading testimonials
- Engage in:
- Fraud, spam, or phishing activities
- Denial-of-service attacks or network abuse
- Any activity that harms Saywall's reputation or business
6.4 Testimonial Authenticity
You represent and warrant that:
- Testimonials you publish are authentic and obtained lawfully
- You have consent from testimonial authors to display their content
- Testimonials are not fabricated, incentivized improperly, or misleading
- You comply with Federal Trade Commission (FTC) guidelines and equivalent regulations
Warning: Publishing fake, misleading, or unauthorized testimonials may violate consumer protection laws and expose you to legal liability.
6.5 Content Moderation
We reserve the right, but are not obligated, to:
- Monitor, review, or screen User Content
- Remove or refuse to display Content that violates these Terms
- Suspend or terminate accounts that repeatedly violate Content policies
- Cooperate with law enforcement regarding illegal Content
We are not responsible for User Content and do not endorse any opinions, recommendations, or advice expressed therein.
7. Public Testimonial Forms
7.1 Public Form Submissions
When you enable public testimonial forms for your Project, third parties can submit testimonials without authentication.
Your Responsibilities:
- You are responsible for moderating and approving submissions
- Testimonials remain in "pending" status until you approve them
- You must comply with privacy laws when collecting testimonial data
- You must provide appropriate privacy disclosures on your website
Spam Protection:
- We use Google reCAPTCHA v3 to prevent spam
- By using public forms, you agree to Google's Privacy Policy and Terms of Service
Approval Control:
- Only testimonials you explicitly approve are displayed publicly
- You may approve, reject, or delete submissions at any time
8. Widgets and Embedding
8.1 Widget Use
You may embed Saywall widgets on websites you own or have permission to modify. Widgets are provided via iframe embedding.
Restrictions:
- Do not modify, reverse engineer, or circumvent widget code
- Do not use widgets in a manner that violates these Terms
- Do not frame or re-embed widgets to misrepresent their source
- Do not use widgets to display Content you do not have rights to
8.2 Widget Availability
We strive to maintain 99.9% uptime for widget delivery, but do not guarantee uninterrupted availability. Widgets may be temporarily unavailable due to:
- Scheduled maintenance
- Technical issues or outages
- Security incidents
- Service updates
We are not liable for damages resulting from widget unavailability.
8.3 Branding Requirements
Starter Plan:
- "Powered by Saywall" branding is required on widgets
- Removing or obscuring branding violates these Terms and may result in account suspension
Pro Plan:
- Option to remove Saywall branding
- Custom branding and theming available
8.4 Caching
Widgets are cached for up to 5 minutes for performance optimization. Updates to testimonials or branding may take up to 5 minutes to reflect in embedded widgets.
9. Intellectual Property Rights
9.1 Saywall's Intellectual Property
The Service and its original content, features, and functionality (excluding User Content) are owned by Saywall and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
Our trademarks and trade dress may not be used without our prior written consent.
9.2 Limited License to Use the Service
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:
- Access and use the Service for your internal business purposes
- Embed widgets on your websites
- Use the Service in accordance with your subscription plan
This license does not include the right to:
- Resell or redistribute the Service
- Modify, reverse engineer, or create derivative works
- Use the Service for competitive purposes
- Extract data through scraping or unauthorized automation
9.3 Feedback and Suggestions
If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant us an unlimited, irrevocable, perpetual, royalty-free license to use, modify, and incorporate such Feedback without compensation or attribution.
9.4 Third-Party Integrations
The Service integrates with third-party platforms (Twitter, LinkedIn, Stripe, etc.). Your use of these integrations is subject to the respective third party's terms of service and privacy policies.
We are not responsible for third-party platforms or their content.
10. Privacy and Data Protection
10.1 Privacy Policy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the practices described in the Privacy Policy.

10.2 Data Processing
For Users: We process your personal data as a data controller under GDPR and other applicable laws.
For Testimonial Authors: When you collect testimonials through the Service, you act as the data controller for the personal data of testimonial authors. You are responsible for:
- Providing privacy notices to testimonial authors
- Obtaining necessary consents under GDPR, CCPA, and other laws
- Honoring data subject rights (access, deletion, etc.)
- Complying with applicable data protection laws
Saywall acts as a data processor for testimonial data you collect. We provide the tools, but you are responsible for lawful use.
10.3 Data Retention
We retain data as described in our Privacy Policy. Upon account deletion, your data is permanently deleted within 30 days, except as required for legal compliance.
10.4 Security
We implement industry-standard security measures, including encryption, authentication, and access controls. However, no system is 100% secure. You acknowledge that you provide data at your own risk.
11. Third-Party Services
11.1 Service Providers
We use third-party service providers to operate the Service:
Supabase (Database & Authentication):
- Hosts all application data
- Provides authentication services
- Location: EU North (Stockholm, Sweden)

Stripe (Payment Processing):
- Processes all payment transactions
- Manages subscription billing

Vercel (Hosting & Analytics):
- Hosts the application
- Provides analytics and content delivery

11.2 Third-Party Responsibility
We are not responsible for the availability, content, or practices of third-party services. Your use of third-party services is at your own risk and subject to their respective terms.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY LAW, SAYWALL DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the Service will be uninterrupted, error-free, secure, or virus-free
- Warranties regarding the accuracy, reliability, or completeness of Content
- Warranties that defects will be corrected
YOU ACKNOWLEDGE THAT:
- Your use of the Service is at your sole risk
- We do not warrant that the Service will meet your requirements
- We do not guarantee any specific results from using the Service
- Technical issues, downtime, and data loss may occur
This disclaimer applies to the fullest extent permitted by applicable law. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAYWALL, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:
13.1 Types of Damages Excluded
- Indirect, incidental, consequential, or punitive damages, including:
- Loss of profits, revenue, or business opportunities
- Loss of data or corruption of data
- Loss of goodwill or reputation
- Cost of substitute services
- Business interruption
- Damages arising from:
- Your use or inability to use the Service
- Unauthorized access to your account or data
- Errors, bugs, viruses, or malicious code
- Third-party conduct or content
- Suspension or termination of your account
- Changes to the Service or pricing
13.2 Maximum Liability Cap
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF:
- $100 USD, or
- The amount you paid to Saywall in the 12 months preceding the claim
This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we were advised of the possibility of such damages.
13.3 Jurisdictional Variations
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
13.4 Essential Basis of Bargain
You acknowledge that these limitations of liability are an essential basis of the bargain between you and Saywall, and that we would not provide the Service without these limitations.
14. Indemnification
You agree to defend, indemnify, and hold harmless Saywall, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any law or regulation
- Your User Content, including:
- Claims of intellectual property infringement
- Violations of privacy or data protection laws
- Defamation or misrepresentation
- Unauthorized use of testimonials or likenesses
- Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
- Unauthorized access to your account resulting from your failure to maintain security
We reserve the right to assume exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with us in asserting any available defenses.
This indemnification obligation survives termination of these Terms and your use of the Service.
15. Term and Termination
15.1 Term
These Terms commence when you first access the Service and continue until terminated in accordance with this Section.
15.2 Termination by You
You may terminate your account at any time by:

- Following the account deletion process in your dashboard (when available)
Upon termination, your access to the Service will cease, and your data will be deleted in accordance with our Privacy Policy (typically within 30 days).
15.3 Termination by Saywall
We may suspend or terminate your account, with or without notice, for:
- Violation of these Terms
- Fraudulent or illegal activity
- Non-payment of subscription fees
- Abuse or misuse of the Service
- Prolonged inactivity (12+ months)
- At our sole discretion for any reason
15.4 Effect of Termination
Upon termination:
- Your right to use the Service immediately ceases
- You will lose access to your account and data
- Outstanding fees remain due and payable
- Widgets may cease to function on your websites
- Data will be deleted in accordance with our Privacy Policy
Survival: The following sections survive termination: User Content Ownership (license grant), Intellectual Property Rights, Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law.
15.5 Data Export
We recommend exporting your data before terminating your account. After termination, data may not be recoverable.
16. Dispute Resolution and Governing Law
16.1 Governing Law
These Terms are governed by and construed in accordance with the laws of Hungary and the European Union, without regard to conflict of law principles.
If you are located outside the European Union, the laws of your jurisdiction may also apply to certain aspects of these Terms.
16.2 Jurisdiction and Venue
For Users in the European Union:
- Disputes shall be subject to the exclusive jurisdiction of the courts of Hungary
- EU consumers may also bring claims in their country of residence
For Users Outside the EU:
- You agree to submit to the jurisdiction of the courts of Hungary for disputes arising from these Terms
- You waive any objection to venue or inconvenient forum
16.3 Dispute Resolution Process
If you have a dispute with Saywall, please contact us at hello@saywall.io and we will work with you in good faith to resolve the issue within 30 days.
16.4 EU Online Dispute Resolution
EU consumers may use the European Commission's Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr
17. Modifications to Terms
17.1 Right to Modify
We reserve the right to modify these Terms at any time. When we make changes, we will:
- Update the "Last Updated" date at the top of these Terms
- Notify you via email for material changes (at least 30 days before the effective date)
- Post a notice on the Service for non-material changes
17.2 Acceptance of Changes
Material Changes: Require your acceptance to continue using the Service. If you do not agree, you must stop using the Service and may terminate your account.
Non-Material Changes: Your continued use of the Service after changes take effect constitutes acceptance.
17.3 Version History
You may request prior versions of these Terms by contacting us.
18. General Provisions
18.1 Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and Saywall concerning the Service.
18.2 Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be severed, and the remaining provisions shall remain in full force and effect.
18.3 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision. Any waiver must be in writing and signed by us.
18.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any affiliate or successor without restriction.
Any attempted assignment in violation of this provision is void.
18.5 Force Majeure
We shall not be liable for any failure or delay in performing our obligations due to causes beyond our reasonable control, including:
- Acts of God (natural disasters, pandemics, etc.)
- War, terrorism, or civil unrest
- Government actions or regulations
- Labor disputes or strikes
- Internet or telecommunications failures
- Third-party service outages (Supabase, Stripe, Vercel, etc.)
18.6 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights except as expressly stated.
18.7 Headings
Section headings are for convenience only and do not affect interpretation.
18.8 Language
These Terms are provided in English. If translated, the English version prevails in case of conflict.
19. Export Compliance
You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and you are not on any U.S. Government list of prohibited or restricted parties.
You agree to comply with all applicable export control and sanctions laws.
20. Accessibility
We are committed to making the Service accessible to all users. If you encounter accessibility barriers, please contact us at hello@saywall.io.
21. DMCA Copyright Policy
21.1 Copyright Infringement Notification
If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement on the Service, please provide our Copyright Agent with the following information (as required by the Digital Millennium Copyright Act, 17 U.S.C. § 512):
- Electronic or physical signature of the copyright owner or authorized representative
- Description of the copyrighted work claimed to have been infringed
- Identification of the infringing material and information sufficient to locate it
- Your contact information (address, telephone number, email)
- A statement that you have a good faith belief that the use is not authorized
- A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner

21.2 Counter-Notification
If you believe your Content was removed in error, you may file a counter-notification with the information required under the DMCA.
21.3 Repeat Infringer Policy
We will terminate accounts of users who are repeat copyright infringers in accordance with the DMCA.
22. Communication and Notices
22.1 Electronic Communications
By using the Service, you consent to receive electronic communications from us, including:
- Transactional emails (authentication, billing, account notifications)
- Service announcements and updates
- Legal notices and policy changes
These communications are part of your relationship with us, and you may not opt out of transactional or legal communications.

- By posting on the Service
- Through in-app notifications

23. Beta Features and Early Access

We may offer beta, experimental, or early access features ("Beta Features") to Pro Plan subscribers or select users.
Beta Features:
- Are provided "AS IS" with no warranties
- May be unstable, incomplete, or subject to change
- May be discontinued at any time without notice
- Should not be used for production-critical purposes
By using Beta Features, you acknowledge the risks and agree to provide feedback.
23.2 Feedback Obligations
If you participate in beta programs, you may be asked to:
- Provide feedback and bug reports
- Keep Beta Features confidential (if specified)
- Acknowledge that Beta Features may not be released publicly
24. Service Level and Uptime
24.1 Availability Target
We strive to maintain 99.9% uptime for the Service, but do not guarantee uninterrupted availability.
Scheduled Maintenance: We may perform scheduled maintenance with advance notice (typically 24-48 hours) when feasible.
Unplanned Downtime: May occur due to technical issues, security incidents, or third-party outages.
24.2 No SLA for Free Plans
Service Level Agreements (SLAs) do not apply to Starter (free) plan users. Pro Plan users may receive priority restoration in the event of outages, but no uptime guarantees are provided at this time.
25. User Feedback and Reviews
25.1 Public Reviews
You may post reviews or feedback about the Service on third-party platforms. You agree that such reviews will be:
- Truthful and based on your actual experience
- Not misleading or defamatory
- Compliant with the platform's terms of service
25.2 Use of Testimonials
We may feature user testimonials, reviews, or case studies on our website or marketing materials. If you provide a testimonial, you grant us permission to use it for promotional purposes, with proper attribution unless otherwise requested.

26. Compliance with Laws
26.1 Your Compliance Obligations
You agree to comply with all applicable laws and regulations in your use of the Service, including:
- Consumer Protection Laws: FTC guidelines on testimonials and endorsements (16 CFR Part 255)
- Data Protection Laws: GDPR, CCPA, PIPEDA, LGPD, and other privacy laws
- Intellectual Property Laws: Copyright, trademark, and publicity rights
- Anti-Spam Laws: CAN-SPAM Act, CASL, GDPR (for email communications)
- Accessibility Laws: ADA, WCAG (for publicly embedded widgets)
26.2 Geographic Restrictions
The Service is operated from Hungary and may not be available or appropriate for use in all jurisdictions. If you use the Service from outside Hungary, you are responsible for compliance with local laws.
Certain features may be restricted or unavailable in specific countries due to legal requirements.
27. Taxes
You are responsible for all taxes associated with your use of the Service, except for taxes based on our net income.
If we are required to collect or pay taxes on your behalf, such amounts may be added to your invoice or deducted from your account balance.
